Polybutyleneisathermoplasticfrom

Itisasemi-crystallinematerial.
Itsdensityisintherangeofother
thermoplasticssuchasPEorPP.It
hasgoodmechanicalpropertiesand
chemicalresistancemakingpolybuty-
leneanimportantmaterialforpiping
systems.
PBiscreatedbypolymerizingbutylene
(C4H8)andis,therefore,anecologicaly
safehydrocarbonproduct.
Thematerialwhichweuse,maybe
usedwithfoodstuffsduetoitssafe
stabilizingagent.Thefittingsandpipes
areodourlessandtastelessaswellas
physiologicallysafe.Itisperfectfor
useindrinkingwaterinstallations.
LikePEandPP,PBbelongstothe
groupofco-valentmaterials,whose
surfacesdonotswellandarenot
soluble.Solventcementingis,
therefore,notpossiblewithoutspecial
surfacetreatment.PBis,however,
easilyfused.Compression,socket
fusionandelectrofusionjointingcan
beused.

Requirementsspecific tothe designof PB

Polybutylene(PB) pipeworkfittings shallbe
usedfor theconveyanceof heatingLTHW and
potablecoldwater,foruseinalldomestic
coldwaterservices, chilledwater, hotwater
servicesand compressedair shouldcomply
withthe requirements specifiedin BS7291
(Parts1 and2) class‘S’; DIN16968/DIN 16969
orEN ISO15876-1.
Thewholeof thePB pipeworkinstallations
shouldbe testedin accordancewiththe
requirements asset outin BSCode of
Practice312: andinstalledin accordance
withBS6700 andthe relevantmanufacturer’s
instructions.
Careshould beexercised whilstoff-loading,
storing,transportingabout thesite andwhilst
installingthe pipeworkand fittingsto ensure
thatno accidentaldamageoccurs tothe
pipeworkor fittings.Also, thepipeworkand
fittingsshould notbe stored where they
maybe exposedto theeffects ofultra violet
radiationincluding daylight.
Pipes
AllPB pipingshould betoBS7291: Part1&2;
DIN16968/DIN 16969or ENISO15876-2.
Pipe Fittings and Valves
Unlessspecified otherwise,all associatedpipe
fittings(viz. Manifolds,unions andflanges)
shouldbe ofPB manufacturedgenerallyin
accordancewith BS7291: Parts1 and2 and
brassfittings manufactured generallyin
accordancewith BS864, Part2; orEN ISO
15876-3and befullycompatiblewith the
pipesystem theyareto beinstalled with.
Valvesfor PBpipeworkshould befully
compatible withthe pipeworksystem
towhich theyaretobe connected,
comprisingvariously:
(i)PB gatevalvesfor pipesizes upto and
including63mm outsidediameter, allowing
bi-directionalflowwith direct sealingof
slidein valvebody operatingat 90°to
directionof pumpflowwith nonraising
valvesspindle.
(ii)PVC-C ballvalves, forpipe sizesup
toand including63mm outsidediameter,
meetingthe resistance topressure
requirement ofDIN 3441,allowing
bi-directionalflowwith floatingball, and
complete withdoublesocketdisconnecting
endsand removableseals.
(iii)PVDF flangedbutterflyvalves, for
pipesizes over63mmoutsidediameter,
allowingbi-directionalflow,or overall
dimensionscomplyingwith DIN3441:
Part5 orISO 7508and havingvalve body
holestoallowconnectiontoflangesdrilled
inaccordancewith BS8063: Part4, ISO

Selection of PB Pipe Systems
Theselectionis basedon thefollowing

Workmanship, Finish and Appearance
Thefinished tubeshall besmooth,freeof
internaland externalmechanical imperfections
andinternallyshall have asmooth appearance.
Packaging and Transportation
Thepipes shouldbe delivered incoilsor
straightlengths, andthe tubesshall be
bundledbysizeinsuitablebagsor cardboard
boxes, clearly markedwith thepurchaseorder
number,material designation,size, totallength
orpiece count andname ofsupplier.
Pipe Joints
Thepipes andfittings shouldbeentirely
compatible witheach otherand thejointing
shouldbe carriedout instrict accordancewith
themanufacturer’s printedinstructions.
Unlessindicated otherwise,the pipejoints in
PBpipework shouldbe madeby socketfusion,
buttfusion, electrofusionor compression.
Theassemblyof theseshould becarriedout
instrict accordancewith themanufacturer’s
instructions.Only fully trained installers should
be used for assembling PB pipe systems.
Trained and Certified by George Fischer or by
George Fischer appointed trainers.
(i)Socket fusion
Utilisingthe correct toolsfor assembly,
heatingand jointingtimes inaccordance
withthe manufacturer’sinstructions.This
shallonlybe carriedout ata workbench,
withthe heatingelementsecurely fixedto
thework bench.
(ii)Electrofusion
Utilisingcorrecttools forassembly,heating
andjointing timesin accordancewith the
manufacturer’sinstructions.
(iii)Butt fusion
Utilisingthe correct toolsfor assembly,
heatingand jointingtimes inaccordance
withthe manufacturer’sinstructions.This
shallonlybe carriedout ata workbench,
withthe heatingelementsecurely fixedto
thework bench.
(iiii)Brass Compression
Fittingsto includeinternal pipesleeveas
integralpart offitting withgrip ringto hold
pipein place.Assembly inaccordancewith
manufacturer’sinstructions.Thismethod
shallonlybe usedto connectto itemsof
plantor tometallic pipeworksections.
Wheredirected,toenable disconnections
tobe undertaken,socket unionsshould be
fittedon pipesup toand including63mm
outsidediameter. Above63mmoutside
diameter,flanged jointsshould beused.
Note:Locations forde-mountableunions
andflanges shallbe asshownon the
drawings. Screwedadaptor fittingsshould
beused atscrewedjointstoappliances
upto 2”normal bore. PBflange adapters
havingdimensions inaccordancewith BS
4504,should beprovidedforconnections
topumps, tanksor equipmentabove2”
nominalbore.

Pipework System
Thepiping contractorshould provide samples
ofthe followingfor approval:
- PB piping
- PB pipeworkregulationandisolationvalves
- PB pipeworkbends, teesand tap
connectors
- PBcleanerandjointing equipmentor
(ifapplicable) compressionfittings foruse
withPB
Ordersfor thepipeworksystemshould notbe
confirmed,nor shouldthe construction ofthe
installationof thesystemproceeduntil these
sampleshavebeen approvedinwriting.
Theapprovedsamplesshould beretained
on-sitefor comparisonwiththeworkas
actually installed.
Theconnections totapson sinksworktopsetc
shouldbe installed withthe manufacturer’s
suitablebrass outlets connectors.
Arrangementsshould bemade toensure
thatthe fittingsand thePBpipetowhichit
isjoined areguardedand secured insuch a
wayas tobe protectedfromundueimpactor
excessivetorque.
PBpipework canbe connected toany heat
source(forexampledomestic hotwater storage
calorifierordirectgas fire waterheater).
Cleaning
Ingeneral thepipe shouldbe flushedwith
mainscold waterafterfinishing theinstallation.
Disinfection
Disinfectionshall becarried outin accordance
withSection 218and themanufacturer’s
guidelines.
Fire Sleeves
Firesleevesshould beused wheresinglePB
pipesof 20mmoutside diameterand aboveor
multiplebanksofpipespenetratefirebarriers.
Theyshould generallycomplywith the
requirements ofthe localfireauthority.
(i)They shouldbe constructedwith an
intumescentlining.
(ii)Casings shouldaccommodatethe expansion
ofintumescent liningsduring fire
conditions.
(iii)Intumescent liningsshould expand
inwardsat atemperatureof about140°C
andcompletelyseal theopenings against
thepassage offlames, fumesand smoke.
Suchlinings shouldalso beinaccordwith
thepipe manufacturer’srequirements.
Note:The pressureof theexpanding
intumescentlining maycrush PBpipes.
(iv)Individual sleevesmountedonvertical
pipeworkshould:
-be ofconstructionsuitablefor surface
mounting
-be installed onthe pipeimmediatelybelow
thebarrier (thecollar shouldbe securely
fixedtothe sleeves,the sleeveand the
flangedcollar buttedupagainstthe fire
barrierand theflange boltedinto position)
orsimilar.
Installing the pipework system
Thecontractorshould:
(i)Check thatthe exteriorof thepiping is
markedat intervalsnotexceeding onemetre
withthe manufacturer’sname, typeof
material,pipe sizeand standard withwhich
itcomplies.
(ii)Check thatall thepipingandfittings
suppliedareuniform incolourdensity.
(iii)Exerciseparticular care intheir
storage,handlingand installationto avoid
deteriorationdue toultravioletlight and
impactdamage.
Thepiping manufacturer’sprinted
instructionsshould berigidlyadhered
toin allrespectsof storage,stacking,
handlingand installation.The pipework
shouldbe supportedas indicatedupon the
drawingsand asdetailedwithin thecontract
documents. Itisessentialthat cleaners
arecorrectlyapplied tothe pipeends and
socketsprior tofusion andelectrofusion
jointingwith cleaningpadschanged
regularly inaccordancewith manufacturer’s
instructions.After fusionjointing, aring of
Polybutylenewill bevisibleon theoutside of
thepipe asevidencethat ajoint hasbeen
completed. Afterelectrofusion anindicator
pipwill raiseabovethe surfaceofthefitting
asevidencethat ajoint hasbeen
completed.

Greatcareshould betakento ensure thatonly
themanufacturer’s installationproceduresare
followedand, inparticular, thatthe fullcooling
periodis maintainedbeforeany jointis
considered tobe complete.
Nopipework, orsection thereof, shallhave
waterpressure applieduntil themanufacturer’s
stipulatedsetting periodhas elapsed(a
minimumof atleastone hourafter thelast
fusionpoint).
Wherean existingheatsourcehas tobe
maintained,with pipeseither runningparallel
orcrossingeach other,thermal insulation
shouldbe applied.On noaccountshould
laddersscaffold orother buildingitems
beproppedup againstthePBpipework
installation.
Changesin directioncan beachievedusing the
pipesflexibility,in accordancewith the
manufacturer’sinstructions.Nothermally
inducedbending ofPB pipesthroughthe
applicationof localheating shouldbe
permitted.
AllPB pipesshould besupportedbypipe clips
orsupport brackets,the spacingof which
shouldnot exceedthe maximumintervalsas
advisedand confirmedby thepipe
manufacturer.
Wherea pipeclip orsupport bracketisbeing
usedto supporta numberof pipesof different
materialsand sizes,the spacinginterval
betweensuch clipsand bracketsshouldnot
exceedthe smallestofthe ‘maximumintervals’
statedor advisedfor eachof thepipes being
supported.
PBpipework inexposedpositions (orwhere
distortionis likelytooccur)should be
supportedusing thepiping manufacturer’s
standard pipeclip orsupport pipecarriers.
WherePB pipingis supportedusing otherthat
standard PBpipe clips,the supportsshould
comprisesteelsplit piperings withrubber
insert,nippling rodnuts andwashers with
backplateas required,either fixedto rail
supportor buildingfabric.
Thetest pressureshouldbemaintained
throughoutthe periodof timeof notlessthan
onehour andnot lessthan oneand ahalf
timesworking pressure.
Thereshould beno lossof pressure
abovethatdetailed inthe manufacturer’s
handbook,to allowfor theexpansion and
thesetting inperiod ofPBpipes,during
theperiod thetest isbeing carriedout.
Theresultsof thepressuretest shouldbe
recordedon alogsheet.
Expansion
Expansionloopsorchangesinpipe direction
shouldbe allowedfor atregularintervalsin
accordancewith manufacturer’s guidelines.
Whereexpansion loopsand changes
indirectionareimpracticalfixedpoint
assembly maybe usedon pipesup to75mm
diameterto preventthe PBpipes from
expandingor contracting,in accordancewith
manufacturer’sguidelines.
Warning: Notall PBpiping systemsare
suitablefor fixedpointassembly toresist
theeffects ofexpansion. Pleaseconsultthe
manufacturerbeforeconsideringthe useof
thismethod.
Iffixedpointbracketsarebeingusedto
avoidlongitudinalexpansion ofPB pipes,the
installationinstructionsof boththe pipeand
bracketmanufacturer’sshould beadhered
to.
Fixedpointbracketsshould belocated
atfittings andmust gripthe pipeon
bothsides ofthe fittings,oraccordingto
manufacturer’sinstructions.
Fixedpointsupportsshouldbelocated at
fusionor electrofusionfittings andmeet with
themanufacturer’s requirements, toabsorb
forcesandtransferthem tothe structure.
Fixedpointsshouldnotbelocated more
thana maximumof 6mapart.
Pipesupport carriersmustbe usedto
supportthe pipesbetween fixedpoints,
topreventbuckling. Normalsupports for
thepipes andcarrier, betweenfixedpoints
shouldnot bemorethan 1.5mapart, in
accordancewith themanufacturer’s guide
lines.

Pipesupport carriersshall beof semi-circular
shapeto closelymatch thepipes outside
diameter. Manufacturedfromgalvanisedor size
platedsteel. Thecoatinginside andoutside
areto beof thesame standard. Thefinish isto
besmooth alongthesurfaces andedges to
preventdamage tothe pipes.When cutthe
edgesof thecarrier are tobe filedsmooth.
Thecarrier isto beattached tothe pipeby
approvedcableties suitable tosupport the
forces,atintervalsrecommended bythe
manufacturer(nevermorethan 500mm).
Thecarrier isnot tobe runoverfittings,
butto terminate10-15mm shortboth sides
withadequate supportthroughcableties
andbrackets.
Only installers carrying a GF training
certificate shall be used for assembling GF
Polybutylene pipe systems.
Water Treatment
Oncompletionofinstallation, thewholeof the
heatingand primaryhot watersystem isto be
filledandaftera satisfactorypressure andheat
testis achievedemptied andflushed cleanof
allforeignmatter.
Whena cleanwaterconditionis proven,the
systemis tobe dosedwith anapprovedand
recognisedchemicalscaleand corrosion
inhibitingagent.
Thedosing operationis tobe carriedout byan
approvedspecialist andon completion,
certificatesare tobe submittedindicatingthe
chemicalused (andits characteristics)the
percentagedosage introducedandall
otherrelevantdetails requiredtomaintain
satistactoryprotection.
Immediately uponcompletion ofthe dosing
process,noticesareto bepostedin plant
roomsindicating thatthe systemhas been
treated,the chemicalused, thepercentage
concentration, etcand particularly relevant
informationrequired bythe Healthand Safety
atWorkregulations.
Priorto thedosing processcommencing,
theContractor isto submitdetails ofthe
companyit isproposingto engageto perform
theoperation, completewith allrelevant
informationregarding thetype ofchemicals to
beused andthe method.
Dosingby themechanical contractoror any
otherorganisationnot aspecialistwillnot
bepermitted.

Thefoam,whilstcreatingasmoke
andacousticsealagainstthepipe,
allowsforpipeexpansionandbuilding
movementandisalsoananti-vibratory
material.
FIRESTOPScanbefittedtoeither
horizontalorverticalpipeworkand
althoughtheycanbefreelymovedinto
position,theywillremaininplaceeven
onverticalpipework.

Socket Fusion Jointing
1. Chamfer pipe ends
2. Clean pipe & fittings
3. Check heater bushes temperature
4. Check and clean heater bushes
5. Set timer to correct heating time
6. Mark fusion depth with gauge
7. Make joint but Do Not Twist after insertion only
adjust for squareness
8. Hold pipe & fitting together for required holding time
9. Carefully put pipe and fitting down for cooling time

Electrofusion Jointing
1. Cut pipe ends square using correct tool
2. Clean pipe & fittings with PB cleaning fluid
3. Mark insertion depth on pipe
4. Remove electrofusion fitting from bag and insert pipe
5. Tighten fitting ensuring screw head is level with the plastic
6. Check electrofusion leads for damage, if ok connect lead ends onto
the terminal on fitting
7. When joint cycle is complete remove electrofusion leads
from fitting
8. Check for fusion indicators pips rising close to the terminal

Plastic pipes and plastic fittings must be protected in principle from
external influences. Direct sunlight, impacts and compressive
stresses should be avoided. The pipes and fittings must be left in
their packing until used. They should not be stored out of doors.

Outer stainless steel sleeve, inner intumescent lining and three acoustic foam seals.
Fire protection up to 120 minutes.
Tested to BS476:Part 20
On contact with fire, the FIRESTOP's intumescent lining expands to over 16 times its
original volume, thereby crushing the plastic pipe and forming a smoke and flame barri-
er.

3 APPLICATION OF TERMS
3.1 (Subjecttoclause3.4)theseConditionsaretheonlyconditionson
whichGeorgeFischerispreparedtodealwiththeCustomerandtheywillapplytoall
Contractstotheexclusionofanyothertermsandconditionsincludingbutnotlimitedto
thosewhichtheCustomerpurportstoapply.
3.2 Notermsorconditionsendorsedupon,deliveredwith,referredtoorstipulatedorcontained
inanypurchaseorderorothersimilardocumentdeliveredorsentbytheCustomerto
GeorgeFischerwillformpartoftheContract.
3.3 AnyreferenceoverleaftotheCustomer’spurchaseorderorothersimilardocument
willnotbedeemedtoimplythatanytermsorconditionsendorsedupon,delivered
with,referredtoorstipulatedorcontainedinsuchpurchaseorderorothersimilar

clause3.5and3.6mayonlybeamended,cancelled,postponedorvariedbytheCustomer
withthepriorwrittenconsentofGeorgeFischerandontermsthattheCustomerwill
indemnifyGeorgeFischerinfullagainstalllosses(includingbutnotlimitedtolossofprofit),
costs,damages,chargesandexpensesincurred(directlyorindirectly)byGeorgeFischerasa
resultofsuchamendment,cancellation,postponementorvariation.
4 DELIVERY
4.1 AnytimesspecifiedoragreedbyGeorgeFischerforthedeliveryoftheWorksare
giveningoodfaithbutareanestimateonly.IfnotimeisspecifiedoragreedbyGeorge
Fischerdeliverywilltakeplacewithinareasonabletime.Unlessotherwiseagreedinwriting
timeforthedeliveryoftheWorkswillnotbeoftheessenceoftheContract.
4.2 GeorgeFischerwilluseitsreasonableendeavourstodelivertheWorkswithinthetimesset
outinclause4.1butGeorgeFischerwillnotbeliablefortheconsequencesofanydelayor
failuretodeliverifthedurationofthedelayisnotsubstantialorifthedelayorfailureisdue
toanycircumstancesbeyondGeorgeFischer’sreasonablecontrolorofanunexpectedor
exceptionalnature.
4.3 (Subjecttotheprovisionsofclause4.4deliverywillbedeemedto
takeplacewhentheWorksaredeliveredtotheCustomeratsuchplaceasthepartiesmay
agreeexceptthatdeliverytoacarrierforthepurposeoftransmissiontotheCustomerwill
bedeemedtobedeliverytotheCustomerandsections32(2)and(3)oftheSaleofGoodsAct
1979willnotapply.
4.4 IfGeorgeFischeragreestopermittheCustomertocollecttheWorksfromGeorgeFischer’s
placeofbusinessthendeliverywillbedeemedtotakeplacewhenGeorgeFischernotifies
theCustomerthattheWorksarereadyforcollectionandunlessotherwiseagreedinwriting
theCustomerwillcollecttheWorkswithin3workingdaysoftheissueofsuchnotice.
4.5 GeorgeFischerwilluseitsreasonableendeavourstoensurewherenecessarythattheWorks
willbepackedsoastobeadequatelyprotectedagainstdamageinnormalconditionsof
transitofusualduration.GeorgeFischerwillmakesucharrangementsforthecarriageand
insuranceoftheWorksasitagreeswiththeCustomer.
4.6 GeorgeFischermaydelivertheWorksininstalments.Deliveriesoffurtherinstalmentsmay
bewithhelduntiltheWorkscomprisedinearlierinstalmentshavebeenpaidforinfull.
DefaultbyGeorgeFischer(howsoevercaused)inrespectofoneormoreinstalmentswillnot
entitletheCustomertoterminatetherelevantContractasawhole.
4.7 IntheeventofanydelayinthedeliveryofanyGoodsand/ortheperformanceofanyServices
whichareattributabletotheCustomer’sactsoromissionsthen:
(a)deliveryoftheGoodsand/orperformanceoftheServiceswillbedeemedtohave
takenplaceatthetimeatwhichbutforsuchdelayordelayssuchdeliveryorper
mancewouldhavetakenplaceandanyextracostsincurredasaresultofsuchdelay
ordelayswillbeaddedtotheContractpriceandwillbepayablebytheCustomer;and
(b)GeorgeFischermaysellsuchGoods28daysaftersuchdelayanddeductanymonies
payabletoGeorgeFischerbytheCustomerfromthesaleproceedsandaccounttothe
CustomerforanyexcessorchargetheCustomerforanyshortfall.
4.8 WheretheWorksaretobesuppliedfromstocksuchsupplyissubjecttotheavailabilityofthe
stockatthedateofdelivery.
4.9 OndeliverytotheCustomerallWorksshouldbeexamined.(Subjecttoclause8.2)George
Fischerwillnotbeliableforanyshortagesinornon-deliveryoftheWorks(evenifcaused
byGeorgeFischer’snegligence)unlessthesameisnotifiedinwritingbytheCustomerto
GeorgeFischer(togetherwithallrelevantdetails)within14daysoftheactualoranticipated
dateofdelivery(asappropriate).SubjecttosuchnoticebeingprovidedGeorgeFischerwill,
ifitisreasonablysatisfiedthatanyWorkshavenotbeendeliveredasaresultofGeorge
Fischer’sfault(initssolediscretion)eitherarrangefordeliveryassoonasreasonably
possibleorgivecredit(attheprorataContractprice)totheCustomerforsuchWorks.Any
shortagesinornon-deliveryofpartoftheWorkswillnotaffecttheContractinrespectofthe
otherpartsoftheWorks.
4.10 IfGeorgeFischercomplieswithclause4.9itwill(subjecttoclause8.2)havenofurther
liability(incontract,tort(includingbutnotlimitedtonegligence)orotherwise)forsuch
shortagesornon-delivery.
4.11 WhilstGeorgeFischerwillusereasonableendeavourstosupplytheexactquantityof
theWorksorderedbytheCustomer,GeorgeFischermaysupplyandtheCustomer
willacceptupto10%moreorlessthantheexactquantityordered.Aproratacharge
orallowanceattheContractpricewillbemadetocoveranysuchvariation.
4.12 TheCustomer(atitsownexpense)willensurethattheplacewheredeliveryofthe
GoodsorperformanceoftheServicesistotakeplaceisadequateandappropriateforsuch
deliveryorperformanceandwillprovidesuchaccess,equipment,facilities,protection,
manuallabourandinformationasmayberequiredtoenableGeorgeFischertoperformits
obligationsundertheContract.
5 RISK AND OWNERSHIP
5.1 UnlessotherwiseagreedinwritingtheWorksareattheriskoftheCustomerfromthe
timeofdeliveryordeemeddeliverytotheCustomer(asappropriate)andloadingandoff
loading(asappropriate)willbeattheCustomer’srisk.Section20(2)oftheSaleofGoodsAct
1979willnotapply.
5.2 (NotwithstandingthatriskintheWorkswillpasstotheCustomerinaccordancewith
theprovisionsofclause5.1)ownershipoftheWorks(bothlegalandequitable)willonlypass
totheCustomer(otherthanwhenownershipisproperlyvestedinsomeotherpersonbythe
operationofanystatute)whenGeorgeFischerhasreceivedinfull(incashorclearedfunds)
allmoniesduetoitfromtheCustomer:
(a)inrespectoftheWorks;and
(b)allothersumswhichareorwhichbecomeduetoGeorgeFischerfromtheCustomeron
anyaccount.
5.3 UntilownershipoftheWorkshaspassedtotheCustomerunderclause5.2,theCustomer
will:
(a)holdtheWorksonafiduciarybasisasGeorgeFischer’sbailee;
(b)keeptheWorksfreefromanycharge,lienorotherencumbrance;
(c)storetheWorks(atnocosttoGeorgeFischer)separatelyfromallothermaterials
oftheCustomeroranythirdpartyinsuchawaythattheyremainreadilyidentifiable
asGeorgeFischer’sproperty;
(d)notdestroy,defaceorobscureanyidentifyingmarkontheWorksortheirpackaging;
(e)maintaintheWorksinasatisfactorycondition,insuredonGeorgeFischer’sbehalf
fortheirfullpriceagainstallriskstothereasonablesatisfactionofGeorgeFischerandon
requestproducesuchpolicyofinsurancetoGeorgeFischer;
(f)holdallproceedsoftheinsurancereferredtoinclause5.3
(e)ontrustforGeorgeFischerandnotmixitwithanyothermoneyorpaytheproceedsinto
anyoverdrawnbankaccount;and
(g)notattachtheWorkstoanyrealpropertywithoutGeorgeFischer’sconsent.
5.4 TheCustomermayresell,useorotherwisedisposeoftheWorksbeforeownershiphas
passedtoitonlyifanysuchsale,useordispositionwillbeeffectedintheordinarycourseof
theCustomer’sbusinessandwillbeasale,useordispositionofGeorgeFischer’sproperty
ontheCustomer’sownbehalfandtheCustomerwilldealasprincipal.
5.5 GeorgeFischermaywhiletheowneroftheWorks(andwithoutprejudicetoanyotherrights
itmayhaveunderorbyvirtueoftheseConditions)demandtheimmediatereturnofthe
WorksatanytimeandtheCustomerwillforthwithcomplywithsuchdemandandbearthe
expensesforsuchreturn.
5.6 TheCustomergrantstoGeorgeFischer(oritssuccessorsintitlefortheWorks)and
theirrespectiveemployeesandagentsanirrevocablelicencetoenteratanytimeany
premiseswheretheWorksareormaybesituatedforthepurposeofinspectingor
removinganysuchWorkstheownershipinwhichhasremainedwithGeorgeFischer.
5.7 GeorgeFischerwillbeentitledtorecoverpaymentfortheWorksnotwithstandingthat
ownershipofanyoftheWorkshasnotpassedfromGeorgeFischer.
5.8 TheWorkswillbedeemedsoldorusedintheorderdeliveredtotheCustomer.
6 PRICE AND PAYMENT
6.1 ThepricestatedintheContractisbasedonthecosttoGeorgeFischerofmaterials,
fuel,power,transport,taxes,duties,services,labourandallothercostsatthedateof
GeorgeFischer’squotation,acknowledgementoforderorsupply(whichever
isearlier).IfatthedateofdeliveryordeemeddeliveryoftheWorkstherehasbeen
anyincreaseinalloranyofsuchcosts,thepricepayablefortheWorksmaybe
increasedbyGeorgeFischeraccordingly.
6.2 Quotationsgiveninacurrencyotherthansterlingarebasedontherateofexchange
atthetimeofquotingand(unlessotherwiseagreedinwritingbetweentheparties)theprice
maybesubjecttorevisionifanydifferentrateofexchangeisrulingatthedateofinvoice.
6.3 (Unlessotherwiseagreed)thepricefortheWorksisexclusiveofanyvalueaddedtax
(andanyothertaxordutyrelatingtothemanufacture,transportation,saleordelivery
oftheWorks)andanycostsorchargesinrelationtoexportand/orimport,packaging,
loading,unloading,carriageandinsurance.Suchcostsandexpenseswillbepaidbythe
CustomerinadditiontothepricefortheWorksatthesametimethatitisduetopayforthe
Works.
6.4 WhereGeorgeFischeragrees(initsdiscretion)tobringforwardthedateofdeliveryofthe
WorksattheCustomer’srequestanyovertimeorotheradditionalcostsreasonablyincurred
byGeorgeFischershallbechargedtotheCustomerinadditiontotheContractprice.
6.5 GeorgeFischermayinvoicetheCustomerfortheWorksatanytimeafterthedeliveryofthe
Worksorthedeliveryofanyinstalment(asappropriate).Ifanydeliveryispostponedatthe
requestorbythedefaultoftheCustomerthenGeorgeFischermaysubmititsinvoiceat
anytimeaftertheWorksarereadyfordeliveryorwouldhavebeenreadyintheordinary
coursebutfortherequestordefaultonthepartoftheCustomer.
6.6 CustomerswhohavebeengrantedbyGeorgeFischer(initssolediscretion)acreditaccount
facilitywillpaythepricewithin30daysoftheendofthemonthinwhichtheWorksaredes
patched.GeorgeFischermay(initssolediscretion)amendthetermsoforwithdraw
suchcreditaccountfacilityatanytimewithoutnoticewithimmediateeffectandonsuch
withdrawalallamountsdueoraccruingtoGeorgeFischerundertheContractwillbecome
immediatelypayabledespiteanyotherprovisionoftheseConditions.
6.7 Customerswhohavenotbeengrantedacreditaccountfacilitywillpaytheprice5working
dayspriortodeliveryoftheWorks.
6.8 NopaymentwillbedeemedtohavebeenreceiveduntilGeorgeFischerhasreceivedcleared
funds.
6.9 TimeforpaymentwillbeoftheessenceoftheContractandtheCustomerwillindemnify
GeorgeFischeragainstallexpensesandlegalcostsincurredbyGeorgeFischerinrecovering
overdueamounts.
6.10 AllpaymentspayabletoGeorgeFischerundertheContractwillbecomedueimmediatelyon
terminationofthisContractdespiteanyotherprovisionoftheseConditions.
6.11 TheCustomerwillmakeallpaymentsdueundertheContractwithoutanydeductionwhether
bywayofset-off,counterclaim,discount,abatementorotherwiseunlesstheCustomerhasa
validcourtorderrequiringanamountequaltosuchdeductiontobepaidbyGeorgeFischer
totheCustomer.
6.12 IftheCustomerfailstopayGeorgeFischeranysumduepursuanttotheContractthe
CustomerwillbeliabletopayinteresttoGeorgeFischeronsuchsumfromtheduedate
forpaymentatanannualrateof4%abovethebaselendingrateofHSBCBankplcfromtime
totimeaccruingonadailybasisuntilpaymentismadeinfull(whetherbeforeorafterany
judgement).Inthealternative,GeorgeFischerinisabsolutediscretion,reservestherightto
claiminterestandcompensationpaymentsundertheLatePaymentofCommercialDebts
(Interest)Act1998.
6.13 Withoutprejudicetotheprovisionsofclause6.12iftheCustomerfailsorGeorgeFischer
reasonablybelievesthattheCustomerwillfailtopayfortheWorkwhendueGeorgeFischer
maydemandpaymentofalloutstandingbalanceswhetherdueornot,treattheContractas
repudiatedbytheCustomerorsuspendanyfutureperformanceoftheContractoranyother
contractwiththeCustomeruntilalloverduesumshavebeenpaid.
7 QUALITY
7.1 GeorgeFischerwarrants(subjecttotheprovisionsofthisclause7)that:
(a)ondeliveryoftheGoodsandforaperiodof12monthsfromthedateofdelivery,theGoods
will:
(i)beofsatisfactoryquality,withinthemeaningoftheSaleofGoodsAct1979(as
amended);and
(ii)bereasonablyfitforanyparticularpurposeforwhichtheWorksarecommonly
suppliedorarebeingbought(iftheCustomerhasmadeknownthatpurposeto
GeorgeFischerinwritingandGeorgeFischerhasconfirmedinwritingthatitis
reasonablefortheCustomertorelyontheskillandjudgementofGeorgeFischer);
(b)andtheServiceswillbeperformedwithreasonableskillandcarebyproperly
qualifiedandexperiencedpersons.

7.2GeorgeFischerwillnotbeliableforanybreachofanyofthewarrantiesinclause7.1unless:
(a)theCustomergiveswrittennoticeofthedefecttoGeorgeFischerwithin28daysofthedate
whentheCustomerdiscoversoroughtreasonablytohavediscoveredthedefect;
(b)(ifthedefectisasaresultofdamageintransit)theCustomergiveswrittennoticeofthe
defecttothecarrierinthemannerandwithintheappropriatetimelimitassetoutinthe
carrier’stermsofbusiness;andGeorgeFischerisgivenareasonableopportunityafter
receivingsuchnoticetoexaminesuchWorksandtheCustomer(ifrequestedtodosoby
GeorgeFischer)returnssuchWorkstoGeorgeFischer’splaceofbusiness(attheCustomer’s
cost)fortheexaminationtotakeplacethere.
7.3GeorgeFischerwillnotbeliableforabreachofanyofthewarrantiesinclause7.1whereand
totheextentthat:
(a)thedefectarisesfromtheCustomer’sPropertyorasaresultoftheCustomer’snegligence;
(b)thedefectarisesasaresultoffairwearandtear,misuse,wilfuldamage,orabnormal
workingconditions;
(c)thedefectarisesasaresultofanyparts,materialsorequipmentnotmanufacturedor
workmanshipnotperformedbyGeorgeFischer;
(d)theCustomermakesanyfurtheruseofsuchWorksaftergivingwrittennoticeofthedefect;
(e)thedefectarisesbecausetheCustomerhasfailedtofollowGeorgeFischer’sinstructions
(whetheroralorinwriting)astothestorage,assembly,installation,commissioning,use,
processing,handlingormaintenanceoftheWorksor(iftherearenone)goodtradepractice;
(f)thedefectarisesasaresultofanyinstallation,testingorcommissioningoftheWorks
performedbytheCustomeroranythirdparty;or
(g)thedefectarisesasaresultofanyalteration,servicingorrepairoftheWorksnotmadeby
GeorgeFischerandwithoutthewrittenconsentofGeorgeFischer.
7.4(Subjecttoclauses7.2and7.3)ifanyoftheWorksdonotconfirmwithanyofthewarranties
setoutinclause7.1GeorgeFischerwillatitsoptionandcostrepairorreplacesuchGoods(or
thedefectivepart),re-performsuchServicesorrefundthepriceofsuchWorksattheprorata
Contractrate.
7.5IfGeorgeFischercomplieswithclause7.4itwill(subjecttoclause8.2)havenofurther
liability(incontract,tort(includingbutnotlimitedtonegligence)orotherwise)forbreachof
anyofthewarrantiesinclause7.1inrespectofsuchWorks.
7.6AnyGoodsreplacedbyGeorgeFischerinaccordancewiththeprovisionsofclause7.4will
belongtoGeorgeFischerandanyrepairedorreplacementGoodswillbeguaranteedonthese
termsfortheunexpiredportionoftheoriginal12monthwarrantyperiod.
8 LIMITATION OF LIABILITY
THEPRICESCHARGEDFORTHEWORKSAREBASEDSTRICTLYONTHEUNDERSTANDING
OFACCEPTANCEBYTHECUSTOMEROFTHEPROVISIONSINTHECONTRACTFORTHE
LIMITATIONOFGEORGEFISCHER’SLIABILITY.SHOULDTHECUSTOMERWISHGEORGE
FISCHERTOACCEPTADDITIONALLIABILITYTHISMAYBEDISCUSSEDBETWEENTHE
PARTIESANDTHEPRICEMAYBEINCREASEDACCORDINGLY.
8.1Allwarranties,conditionsandothertermsimpliedbystatuteorcommonlaw(exceptforthe
conditionsimpliedbysection12oftheSaleofGoodsAct1979andsection2oftheSupplyof
GoodsandServicesAct1982)are,tothefullestextentpermittedbylaw,excludedfromthe
Contract.
8.2NothingintheseConditionsexcludesorlimitstheliabilityofGeorgeFischerforfraudulent
misrepresentationorforanydeathorpersonalinjurycausedbyGeorgeFischer’snegligence
orforanybreachoftheconditionsimpliedbysection12oftheSaleofGoodsAct1979andsec
tion2oftheSupplyofGoodsandServicesAct1982.
THECUSTOMER’SATTENTIONISINPARTICULARDRAWNTOTHEPROVISIONSOFCLAUSES
8.3AND8.4
8.3(Subjecttoclause8.1and8.2)GeorgeFischerwillnotbeliabletotheCustomerincontract,
tort(includingbutnotlimitedtonegligence),misrepresentationorotherwiseforany:
(a)economiclossofanykind(includingbutnotlimitedtodirectorindirectlossofprofit,
business,contracts,revenueoranticipatedsavings):
(b)damagetotheCustomer’sreputationorgoodwill:
(c)productrecallcosts;or
(d)anyspecial,indirectorconsequentiallossordamage(evenifGeorgeFischerhasbeen
advisedofsuchlossordamage)arisingoutoforinconnectionwiththeContract.
8.4(Subjecttotheprovisionsofclause8.2and8.3
9 THE CUSTOMER’S PROPERTY
9.1WhileGeorgeFischerwilltakereasonablecareoftheCustomer’sPropertywhilstitisin
GeorgeFischer’spossession,controlorcustodytheCustomer’sPropertywill(unless
otherwiseagreedinwriting)remainattheCustomer’sriskandallreplacementsand
alterationsofandrepairstotheCustomer’sPropertywillbetheCustomer’sresponsibility.
9.2GeorgeFischerwillnotbeliableforanylossordamagetotheCustomer’sPropertyunless
suchlossordamagearisesasadirectresultofGeorgeFischer’snegligence.WhereGeorge
Fischerisliableunderthisclause9.2GeorgeFischer’sliabilitytotheCustomerwillbelimited
totheactualcostofthereplacementorrepairofthelossordamagetotheCustomer’s
Property.
9.3TheCustomerwillensurethattheCustomer’sPropertyisingoodconditionandsuitablefor
usebyGeorgeFischerintheperformanceoftheContractandwhileGeorgeFischerwill
usereasonableendeavourstoverifyanyrelevantaspectsoftheCustomer’sPropertyno
responsibilityisacceptedbyGeorgeFischerforitsaccuracy.
9.4AnydefectintheWorkswhichisdueinwholeorinparttotheCustomer’sPropertywillnot
entitletheCustomertoterminatetheContract,rejecttheWorks,makeanydeductionsfrom
theContractpriceorclaimdamagesinrespectofsuchdefect.
9.5TheCustomerwillkeepGeorgeFischerindemnifiedinfullagainstallliability,loss,damage,
injury,claim,action,demand,expenseorproceedingawardedagainstorincurredbyGeorge
FischerasaresultoforinconnectionwiththeusebyGeorgeFischeroftheCustomer’s
Propertyunlesssuchliability,loss,damage,injury,claim,action,demand,expenseor
proceedingistheresultofGeorgeFischer’snegligentactsoromissions.
10 TOLERANCES AND TESTS
10.1Unlessotherwiseagreedinwritinggauges,weights,chemicalcompositionandanalysis,
quantitiesandsizeswill,sofaraspossible,beadheredtobutreasonableexcessesand
deficiencieswillbeacceptedbytheCustomer,whowillnotbeentitledtorejectanyWorkson
thegroundthattheyarenotpreciselyasspecified.
10.2Unlessotherwiseagreedinwriting,alltests,testpiecesandinspectionsrequiredbythe
CustomerandagreedbyGeorgeFischerwillbechargedextra.Alltestsandinspectionswill
takeplaceunderGeorgeFischer’sstandardtestingarrangements,andsuchtestswillbe
final(exceptinthecaseofmanifesterror).Alltestsaresubjecttoanalyticaltolerances.
10.3TheCustomermayattend(atitsowncost)alltestsprovidedthatitnotifiesGeorgeFischerin
writingofitsintentiontodoso.TheCustomerwillthenbegivennotlessthan5working
day’spriornoticeoftheproposeddateandtimeofanytestand,iftheCustomerfailsto
attend,thetestwillproceedinitsabsencealthoughitwillbedeemedtohavebeenmadein
itspresence.
11 OWNERSHIP OF TOOLING
11.1Wherepatterns,dies,tools,drawingsandequipmentarenotsuppliedbytheCustomer,only
thosewhicharespeciallymadebyGeorgeFischerandseparatelychargedtotheCustomerin
full,will,whenpaidforbytheCustomer,becomethepropertyoftheCustomer.
11.2GeorgeFischerreservestherighttodestroyorotherwisedisposeofpatterns,dies,tools,
drawingsandequipmentinitspossession,controlorcustody(whetherornotthepropertyof
theCustomer)fromwhichtheCustomerhasnotrequiredanyWorkstobemadeforaperiod
of12monthsormore.
12 PACKING CASES AND PACKING MATERIALS
12.1Unlessotherwiseagreedinwritingpackingcasesandpackingmaterialswillnotbecharged
extrabut,wherestatedtobereturnable,willbereturnedtoGeorgeFischeringood
condition,withinonemonthofreceiptbytheCustomer.Wherenotreturnable,theCustomer
willdisposeofallpackinginaccordancewithallregulations(whetherstatutoryorotherwise)
relatingtotheprotectionoftheenvironment.
13 CONFIDENTIALITY
13.1TheCustomerwillkeepconfidentialalltechnicaldata,commercialinformation,
knowhow,specifications,inventions,processes,initiativesandotherinformationwhichis
ofaconfidentialnatureandwhichhasbeendisclosedtotheCustomerbyGeorgeFischer
and/oranymemberoftheGeorgeFischergroupand/oritsagentsandanyotherconfidential
informationconcerningthebusinessofGeorgeFischerand/oranymemberoftheGeorge
FischergrouporitsproductswhichtheCustomermayobtain(“ConfidentialInformation”).
13.2TheCustomerwillrestrictdisclosureoftheConfidentialInformationtosuchofitsemployees,
agentsorsubcontractorsasneedtoknowthesameandwillensurethatsuchemployees,
agentsorsubcontractorsaresubjecttoequivalentobligationsofconfidentialityasbindthe
Customer.
13.3TheCustomerwillnotwithoutthepriorwrittenconsentofGeorgeFischerpublishordisclose
theConfidentialInformationtoanythirdpartyormakeanyuseoftheConfidential
InformationexcepttotheextentnecessarytoimplementtheContract.
14 INTELLECTUAL PROPERTY
14.1TheCustomerwillkeepGeorgeFischerindemnifiedinfullagainstallliability,loss,damage,
injury,claim,action,demand,expenseorproceedinginrespectofanyinfringementor
allegedinfringementofanypatent,registereddesign,unregistereddesign,designcopyright,
trademarkorotherindustrialorintellectualpropertyrightsresultingfromanyusebyGeorge
FischeroftheCustomer’sPropertyoranycompliancebyGeorgeFischerwiththeCustomer’s
instructions,whetherexpressorimplied.
14.2(Unlessotherwiseagreedinwriting)ownershipinallintellectualpropertyrights
subsistingin,resultingfromorrelatingtotheWorksoranyassociatedplans,descriptions,
blueprints,designs,technicalinformation,drawings,documentsorspecifications(except
wheretheserelatesolelytotheCustomer’sProperty)willvestinorbeassignedtoGeorge
Fischer.IftheCustomerinanywayacquiresanysuchrightsitwillpromptlyinformGeorge
FischerandtakesuchstepsasGeorgeFischermayreasonablyrequiretoassignsuchrights
orvestsuchtitleinGeorgeFischer.
14.3NothingintheseConditionswillbeconstruedasanyrepresentationorwarrantybyGeorge
Fischerthatthedesign,manufacture,useorsaleoftheWorksisnotaninfringementofany
thirdpartyintellectualpropertyrights.
15 TERMINATION
15.1GeorgeFischermayterminatetheContract(andallothercontractsbetweenGeorgeFischer
andtheCustomer)immediatelyif:
(a)theCustomerfailstopaythepriceontheduedate;
(b)theCustomerisinbreachofanytermoftheContractandhasfailedtoremedysuch
breachwithin28daysofreceiptofwrittennoticespecifyingthebreachandrequiringittobe
remedied;
(c)thereisamaterialchangeintheownershiporcontroloftheCustomer;or
(d)theCustomeriswounduporbecomesinsolventorhasareceiveroradministrative
receiverappointedorsufferstheappointmentorthepresentationofapetitionforthe
appointmentofanadministrationoranyequivalentoranalogouseventoccursinanyrelevant
jurisdiction.
15.2TheterminationoftheContract(howsoeverarising)willbewithoutprejudicetoanyrights
andremedieswhichmayhaveaccruedtoeitherparty.
15.3AnyConditionswhichimpliedlyhaveeffectafterterminationorexpirywillcontinuetobe
enforceablenotwithstandingterminationorexpiry.
16 EXPORT SALES
16.1WheretheWorksaresuppliedforexportfromtheUnitedKingdomtheprovisionsofthis
clause16will(subjecttoanyspecialtermsagreedinwritingbetweentheparties)apply
despiteanyotherprovisionoftheseConditions.
16.2TheUniformLawsonInternationalSalesAct1967willnotapply.
16.3Unlessotherwiseagreedinwritingthecurrencywillbepoundssterling.TheCustomerwill
establishandmaintaininfavourofGeorgeFischeranirrevocableandconfirmedletterof
creditinEnglishwithaUKclearingbankpayableondraftsdrawnatsightonpresentation
tothebankbyGeorgeFischerofacertifiedcopyofGeorgeFischer’sinvoice.Allbank
chargesandotherexpensesinrelationtotheletterofcreditwillbebornebytheCustomer.
16.4UnlessotherwiseagreedinwritingWorkswillbesoldC.I.F(asdefinedinINCOTERMS2000
Edition).
16.5TheCustomerwillberesponsibleforcomplyingwithandshallcomplywithanylegislationor
regulationgoverningtheexportoftheWorks:
(a)fromtheUnitedKingdom;and/or
(b)(wheretheWorksaresourcedfromacountryotherthantheUnitedKingdom)fromsuchc
countryandtheimportationoftheWorksintothecountryofdestinationandforpaymentof
anyrelevantdutiesortaxeswhetherpayablebytheCustomerorGeorgeFischer.
16.6Unlessotherwiseagreedinwritingpackingcasesandpackingmaterialswillbecharged
extrabut,wherestatedtobereturnable,willbecreditedinfullonreturntoGeorgeFischer’s
placeofbusiness(carriagepaid)ingoodcondition,withinonemonthofreceiptbythe
Customer.Wherenotreturnable,theCustomerwilldisposeofallpackinginaccordancewith
allregulations(whetherstatutoryorotherwise)relatingtotheprotectionoftheenvironment.
17 LIEN
GeorgeFischerwillhaveinrespectofunpaiddebtsduetoitfromtheCustomeragenerallien
onallpropertyoftheCustomerwhichisinGeorgeFischer’spossessionforwhateverreason
andwhetherworkeduponornot.
18 ASSIGNMENT AND SUBCONTRACTING
18.1TheCustomerwillnotwithoutthepriorwrittenconsentofGeorgeFischerassignortransfer
theContractoranypartofittoanyotherperson.
GeorgeFischermaywithoutthepriorwrittenconsentoftheCustomerassign,transferor
subcontracttheContractoranypartofittoanyotherperson.
19 GENERAL
19.1EachrightorremedyofGeorgeFischerundertheseConditionsiswithoutprejudicetoany
otherrightorremedywhichGeorgeFischermayhaveundertheseConditionsorotherwise.
19.2Anynoticeordocumentshallbedeemedserved,ifdeliveredbyhand,atthetimeofdelivery,
ifposted,48hoursafterpostingandifsentbyfacsimiletransmission,atthetimeoftrans
mission.GeorgeFischermayalsosendanoticeordocumentbyelectroniccommunicationin
ane-mailaddressnotifiedtoGeorgeFischerbytheCustomer.Suchnoticeordocument
shallbedeemedservedifsentbye-mailtransmission48hoursafterthetimeof
transmission.
19.3Theillegality,invalidityorunenforceabilityofanyprovisionoftheseConditionswillnotaffect
thelegality,validityorunenforceabilityofanyotherprovisionsoftheseConditions.
19.4FailureordelaybyeitherpartyinexercisinganyrightorremedyprovidedbytheContractor
bylawwillnotbeconstruedasawaiverofsuchrightorremedyorawaiverofanyotherright
orremedy.
19.5ApersonwhoisnotapartytotheContractwillhavenorightundertheContracts(Rightsof
ThirdParties)Act1999toenforceanytermoftheContract.Thisclause19.5doesnotaffect
anyrightorremedyofanypersonwhichexistsorisavailableotherwisethanpursuanttothat
Act.
19.6TheCustomeragreesthatitwillhavenoremedyinrespectofanyuntruestatement
innocentlyornegligentlymadebyoronbehalfofGeorgeFischerpriortotheContractupon
whichtheCustomerreliedinenteringintotheContractwhethersuchstatementwasmade
orallyorinwritingunlessthestatementhasbeenexpresslyagreedinwritingbyadirector
ofGeorgeFischerand/orthestatementhasbeenexpresslyincorporatedinwritingintothe
Contract.
19.7GeorgeFischershallnotbeinbreachoftheseConditionsorotherwiseliabletotheCustomer
byreasonofanydelayinperformanceornon-performanceofanyofitsobligationsduetoany
circumstancesoutsideGeorgeFischer’sreasonablecontrol.
19.8TheContractwillbegovernedbyEnglishlawandthepartiessubmittothenon-exclusive
jurisdictionoftheEnglishcourts.
