Enclosed is the March 2015 MSRP list for Kantech products.

Tyco Security Products is a market leader in security products, delivering advanced technology, product breadth and world

class support. Our customers have recognized our efforts and rewarded us as the supplier of choice ranging for the most

advanced and challenging applications to protect their homes and businesses.

In order to continue the delivery of a market leading solutions, we have increased our investment in R&D as well as added

infrastructure to enable us to continue delivering world class support. These investments, coupled with cost increases have

resulted in our implementing a price increase on selected products, effective March 15th, 2015.

The new MSRP price list contains price increases and in some cases price decreases. All Starter Kits and Expansion Kits with

ioProx readers, INTEVOs and EntraPass Security Management Software plus few other parts remain at the same MSRP. See

the MSRP column "Note" for details.

The new MSRP list also includes the new KT-1 Ethernet-Ready One Door Controller and associated Starter and Expansion

kits. This new KT-1 door controller is compatible with EntraPass Security Management Software v6.02 that has been released

recently. The warranty on the KT-1 is the same as the other Kantech door controller, meaning 5 years (see Terms &

Conditions of Sales). Also included in this MSRP the new Plug-In power supply for KT-400 (KT-PS-120V), new CodeBench

parts and PIV contactless smart card readers.

TERMS AND CONDITIONS OF SALE

The following terms and conditions apply to all sales of the Products contained on the Manufactur's

Suggested Retail Price list (Price List) and any addenda or revisions thereto. These terms and conditions

shall constitute the entire agreement between Sensormatic Electronics Corporation (hereinafter

Kantech™ ) and Kantech Dealer/Integrator or Distributor (Customer) with respect to sales, and no

representation, statement, term or condition, including any terms or conditions contained in Customer’s

purchase order not set forth here, shall bind Kantech.

1Authorized Customer Qualification Procedure

Kantech sells to and provides service only to "Authorized Customers". To become an Authorized Customer, the

Customer must submit for approval, Kantech's standard "Credit Application", completed and signed either by the

Customer, individually, or by the Customer's authorized officer. Once approved, Authorized Customer status allows

the Customer to order products described in the "Price List" according to these "Terms and Conditions of Sale". The

Customer agrees to notify Kantech without delay in the event of a corporate reorganization, or change of either

ownership or business location, and to promptly re-submit a "Revised Credit Application" reflecting such changes, in

order that Kantech may determine whether the situation or credit worthiness of the Customer has changed. The

status of Authorized Customer can be terminated by the Customer or by Kantech at any time by notification in writing

to the other party.

2Payment Terms

Standard terms are 2% discount if invoice is paid within 10 days, or net 30 from the date of invoice. All accounts past

due will be placed on credit hold. All invoice disputes must be communicated within 30 days of shipment to

the credit department.

Invoices unpaid past thirty (30) days shall be considered overdue. In such case, all further shipments

may be curtailed or delayed until payment has been brought up to date, at the sole and absolute

discretion of Kantech, in addition to any other action that Kantech may take, as deemed appropriate at

Kantech's sole and absolute discretion. On past due accounts, Customer shall pay, on the unpaid

balance, a late payment charge of 1.5% per month (18% per annum), but not in excess of the lawful

maximum.

3Security Interest

In order to secure payment and performance of all obligations of Customer to Kantech, Customer grants to Kantech

and any Assignee a continuing security interest in the Products, all other similar equipment provided by Kantech in

the possession or control of Customer and all proceeds thereof, including insurance proceeds (collectively, the

“Collateral”). This security interest will terminate only on the discharge in full of all obligations of Customer to

Kantech. Whenever requested by Kantech or any assignee, Customer will execute and deliver one or more

financing statements and such other documents as Kantech or assignee requests to further evidence, perfect,

maintain or enforce the security interest. Customer irrevocably appoints Kantech and its assignee its true and lawful

attorney-in-fact to execute and file all documents on its behalf.

4Prices

All pricing is subject to change without notice. All prices are F.O.B. Ex-Works. All prices are NET and include all

applicable discounts. Any applicable taxes, duties, freight, insurance, or broker fees are not included in the pricing

and the Customer agrees to promptly refund KANTECH for any such charges which KANTECH may have to pay.

5Product Specifications

Product specifications may be modified without prior notice and without the Customer being specifically informed. In

the event Customer's purchase requirements are specific, Customer shall have the obligation, before purchasing, to

inquire into and confirm with KANTECH that the specification requirements it requires, still exist in the specific

product.

Orders shall be transmitted in writing via fax or e-mail (US Customers only) and shall include desired ship date

and method.

7Order Acceptance and Acknowledgment

No orders shall be binding on Kantech unless accepted by an authorized signatory of Kantech, and Kantech may for

any reason reject any order or part thereof.

8Back Orders

If Kantech is temporarily unable to ship a complete order, Kantech will make partial shipment and will back order the

unshipped portion of the order unless otherwise instructed. All orders are subject to acceptance by Kantech and no

sales are final until shipped by Kantech. Shipping dates are set according to product availability and may deviate, at

Kantech's sole and absolute discretion.

9Return for Credit or Repair

Merchandise will not be accepted for return or repair without an authorization number from Kantech. To expedite

merchandise returns for credit or repair, call Customer Service to request a Return Authorization (RA) number.

Provide the model, serial number and reason for the return or repair. All return merchandise must be shipped

prepaid, insured and properly packed. The RA number must be referenced on all correspondence and must be

visible on the exterior of the packing carton. No merchandise will be accepted without clearly visible RA

identification. Credit will only be issued for the products included on the approved RA. Any product returned

without an approved RA will be returned to the customer at their expense.

Returns for credit must be unused, undamaged, and in original factory carton. This excludes all software

products and custom card orders, which can not be returned. An exchange or return will be accepted within 30

days from the date of purchase without a restocking fee or within 60 days from the date of purchase with a 20%

restocking fee. After 60 days from the date or purchase, returns will be accepted for repair but not for credit.The

Customer will not deduct from any payment to Kantech the amount of any credits for returned material or

parts, warranty claims, invoicing discrepancies, or otherwise without the prior written approval of Kantech.

9a.

A minimum fee of $75 USD will be charged upon evaluation of products sent in for repair which are determined to

have no problems found.

10 Special Orders

Special orders or custom orders for custom artwork items are, once made, NOT MODIFIABLE, CANNOT BE

CANCELLED and are NON-REFUNDABLE.

11 Withdrawal of Product

Kantech may at any time, without notice, withdraw any Products or servicing and repair of Products from sale /

service and shall not be obligated to fill any order for Products withdrawn from sale / service notwithstanding any

acceptance of such order. Kantech does not represent or guarantee to the Customer the availability for sale /

service of the ordered Products and the Customer hereby expressly releases Kantech from liability to the Customer

arising out of or by virtue of the failure of Kantech to accept or fill any orders of the Customer for Products due to the

unavailability for sale / service of any of the Products.

12 Shipping

All orders are shipped F.O.B. Ex-Works from Kantech warehouses. Customer will pay all expenses, including

insurance, for handling and transporting the Products from and to Kantech's plants for any reason.

Customer will bear all risk of loss or damage to, or theft of, the Products while in Customer's possession or

control and while in transit from or to Kantech's. Until all obligations are paid in full, Customer will, at its

expense, keep the Products insured under policies issued by reputable insurance companies for all risk

commercial property coverage based on full insurable value. Customer will provide evidence of insurance

to Kantech or any Assignee, upon request. If the Products suffer a casualty covered by insurance,

Customer will apply all insurance proceeds to pay the obligations, but will remain liable for any obligations

remaining unpaid. Kantech does not insure product shipments. It's the customer's responsability to insure

all shipments. Kantech reserves the right to proceed with partial shipments of an order if the Customer's purchase

order does not specify otherwise. Products shall be packaged according to Kantech standards and practices.

13 Invoicing or Shipping Errors

Shipping errors or shortages must be reported to Kantech within ten (10) days of receipt of shipment. Invoicing

errors must be reported within thirty (30) days from date of invoice. Kantech reserves the right not to recognize or

correct any errors after such dates and assumes no liability whatsoever after such dates.

14 Limited Warranty

The sole warranty that Kantech provides is the Limited Warranty attached hereto as Schedule "A".

15 Repair Policy and Procedure

Kantech’s Repair Policy and Procedure is attached to the Price List.

16 Governing Law

This Agreement and any controversy arising hereunder in relation to this Agreement shall be governed by and

construed in accordance with the laws of the State of New York.

17 Modification of Terms and Conditions

Any modifications or departure from these terms and conditions must be written and approved by an authorized

signing officer for KANTECH. KANTECH reserves the right to modify these terms.

SCHEDULE "A"

SENSORMATIC / KANTECH LIMITED WARRANTY

Limited Warranty

Kantech warrants to the original purchaser that for a period of twelve (12) months, the product shall be free of

defects in materials and workmanship under normal use. The warranty period commences with the date of

shipment from Kantech. During the warranty period, Kantech shall, at its option, repair or replace any defective

product upon return of the product to it, at no charge for labour and materials. Kantech will warranty all replacement

parts and repairs for six (6) months from the date of shipment or the remaining portion of the original warranty

period, whichever is longer. The foregoing warranty shall apply only to the original purchaser, and shall not be

extended to any subsequent owner of the product. The original purchaser must promptly notify Kantech in writing if

there is a defect in material or workmanship, such written notice to be received in all events prior to expiration of the

warranty period.

There is absolutely no warranty on software and all software products are sold as a user license under the terms of

the software license agreement included with the product. The Customer assumes all responsibility for the proper

selection, installation, operation and maintenance of any products purchased from Kantech.

Conditions to Void Warranty

This warranty applies only to defects in parts and workmanship relating to normal use. It does not cover:

 damage incurred in shipping or handling;

 damage caused by disaster such as fire, flood, wind, earthquake or lightning;

 damage due to causes beyond the control of Kantech such as excessive voltage, mechanical

shock or water damage;

 damage caused by unauthorized attachment, alterations, modifications or foreign objects being

used with or in conjunction with the product;

 damage caused by peripherals (unless such peripherals were supplied by Kantech);

 defects caused by failure to provide a suitable installation environment for the products;

 damage caused by use of the products for purposes other than those for which they were

designed;

 damage from improper maintenance;

 damage arising out of any other abuse, mishandling or improper application of the products.

Items Not Covered by Warranty

In addition to the items which void the Warranty, the following items shall not be covered by Warranty: (i) freight

cost to the repair center; (ii) customs fees, taxes, or VAT that may be due; (iii) products which are not identified with

Kantech's product label and lot number or serial number; (iv) products disassembled or repaired in such a manner

as to adversely affect performance or prevent adequate inspection or testing to verify any warranty claim. Access

cards or tags returned for replacement under warranty will be credited or replaced at Kantech's option.

Limitation of Damages

Under no circumstances shall Kantech be liable for any special, incidental, or consequential damages based upon

breach of warranty, breach of contract, negligence, strict liability, or any other legal theory. Such damages include,

but are not limited to, loss of profits, loss of the product or any associated equipment, cost of capital, cost of

substitute or replacement equipment, facilities or services, down time, purchaser's time, the claims of third parties,

including customers, and injury to property. If the laws of such a jurisdiction apply to any claim by or against

Kantech, the limitations and disclaimers contained here shall be applied to the greatest extent permitted by law.

DISCLAIMER OF WARRANTIES

This warranty contains the entire warranty for Kantech products and shall be in lieu of any and all other

warranties, whether expressed or implied (including all implied warranties of merchantability or fitness for

a particular purpose) and of all other obligations or liabilities on the part of Kantech. Kantech neither

assumes, nor authorizes any other person purporting to act on its behalf to modify or to change this

warranty, nor to assume for it any other warranty or liability concerning this product.

WARNING

Kantech recommends that all products be completely tested on a regular basis. However, despite frequent testing,

and due to, but not limited to, criminal tampering or electrical disruption, it is possible for products to fail to perform

as expected.

Products Not Covered by Warranty

Products not covered by this warranty, or otherwise out of warranty due to age, misuse, or damage will be charged a

flat rate repair fee. No repair work will be performed until a valid purchase order number is received from the

Customer and a Return Authorization number (RA) is issued by Kantech's Customer Service Department.

Repairs, Advance Replacement, & Returns Policy

All of our efforts are directed to ensure you receive the product you need and the highest quality of service you deserve. If you

receive or have a defective product, we also make it easy and fast to repair, exchange or return. Each item is subject to its own

limited warranty.

REPAIRS

Kantech performs covered warranty repairs at no charge. Please return the product to our repair center prepaid, insured, and

properly packed with the Depot Repair number (DR) clearly marked on the outside of the carton and on all correspondence. We will

pay the transportation charges to return the repaired product to you (ground service) for all products repaired under warranty. You

will be responsible for any inbound freight charges.

Please indicate on the return authorization form the service level you require for the return transportation. If not indicated, ground

service will be used.

All product repairs are completed quickly with the high quality you’ve come to expect from us. Lead time on a repair is normally 3 - 5

days after receipt of the defective unit, however, response time may vary. If you have not received your repair unit back within 2

weeks, please contact Customer Service. If you would prefer to exchange an item in advance or exchange it upon arrival at our

repair center, please let Customer Service know when making your request.

To ensure proper handling, please use the original packaging when sending in products for repair. Inadequate packaging can lead

to severe damage during shipment.

RETURNS FOR CREDIT

ACVS will accept returns for credit on products that are new and unused, undamaged and in the original factory carton. A return will

be accepted within 30 days from the date of shipment without a restocking fee or within 60 days from the date of shipment with a 20

percent restocking fee. This exclude all software and custom card orders which can not be returned.

To ensure proper handling, please use the original packaging when sending in products for credit. Inadequate packaging can lead

to severe damage during shipment and possible rejection of credit.

Send products prepaid, insured, and properly packed with the return authorization number clearly marked on the outside of the

carton and on all correspondence. This number is valid for 60 days from the date of issue. Only items specified on the original

return authorization request can be returned using the RA number issued. A new return authorization number is required to return

additional items.

ADVANCE REPLACEMENTS

Prior to requesting an advance replacement, please call Technical Support for trouble shooting assistance. Their telephone number

is 800-507-6268, option 4 for Kantech.

A replacement item will be shipped via 1 day air (standard overnight) within 1 business day (subject to inventory availability) of

issuing the RA with no outbound freight charges to the customer. Replacement items may be new or refurbished. You are

responsible for inbound charges to return the defective item.

For Kantech products that are covered by warranty, the advance replacement unit will be provided without charge provided that you

return the defective unit. Upon shipment of the replacement unit you will be charged for the item, however, charge will be credited

100% upon our receipt of the defective unit.

For products that are out of the warranty period or otherwise not covered by the warranty, a repair fee will be applied against the

credit balance for the unit.

Please use the same packing the advance replacement item was shipped in to return the defective item. The RA number must be

referenced on the outside of the carton and all corresponding paperwork.

The return authorization number is good for only 60 days. Items returned after more than 60 days will not be credited.

Advance replacement units are warranted for the remaining warranty period of the original item or 6 months, whichever is greater.
